These Terms of Use constitute a legally binding agreement between you and Miriam Holme. By accessing or using Tax Vault in any capacity, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not access or use Tax Vault.
These Terms of Use ("Terms") govern your access to and use of the Tax Vault membership community, website, courses, live sessions, tools, templates, and all related content and services (collectively, "Tax Vault" or the "Platform") operated by Miriam Holme (ABN 35 523 551 366), trading as Tax Vault ("we", "us", "our").
These Terms apply to all visitors, registered members, and any other person who accesses or interacts with Tax Vault in any way. By creating an account, purchasing a membership, or otherwise accessing the Platform, you ("you", "Member") agree to these Terms in full.
We may update these Terms from time to time. We will notify you of material changes by email to your registered address and/or by posting a notice on the Platform. Continued use of Tax Vault after any change constitutes your acceptance of the revised Terms.
To use Tax Vault, you must:
be at least 18 years of age;
be an Australian resident or citizen, or be accessing the Platform in relation to Australian taxation matters;
have the legal capacity to enter into a binding contract; and
not be prohibited from using the Platform under any applicable law.
By registering, you represent and warrant that you meet all eligibility requirements. We reserve the right to terminate or suspend your membership if we reasonably believe you do not meet these requirements.
Tax Vault provides general tax education, resources, tools, and community support for Australians. All content on the Platform — including video lessons, live sessions, templates, written materials, and community discussions — is educational in nature and is provided for informational purposes only.
Nothing on Tax Vault constitutes tax advice, financial advice, legal advice, or any other form of professional advice specific to your individual circumstances. Tax Vault is not a substitute for engagement with a registered tax agent, financial planner, or legal adviser.
All strategies, examples, and information presented on the Platform reflect general principles under Australian tax law at the time of publication. Tax law changes regularly. We make reasonable efforts to keep content current but do not guarantee that any particular piece of content is up to date at the time you access it.
We do not represent, warrant, or guarantee that using Tax Vault will result in any specific tax saving, financial outcome, or other benefit. Individual outcomes depend on personal circumstances, professional advice, and the implementation of strategies with appropriate professional guidance.
To access Tax Vault, you must create an account and maintain an active paid membership. You agree to provide accurate, current, and complete information during registration and to keep your account details up to date.
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately at [email protected] if you become aware of any unauthorised use of your account.
Your Tax Vault membership is personal to you. Each membership entitles one individual to access the Platform. You must not share your login credentials with any other person or allow any other person to access the Platform using your account.
Members who joined during the founding member launch period ("Founding Members") are entitled to the founding member pricing as specified at the time of their purchase, for as long as their membership remains continuously active.
Founding Member pricing is non-transferable. If a Founding Member cancels their membership for any reason, their founding member pricing is forfeited permanently. Should they wish to rejoin Tax Vault after cancellation, they will be required to subscribe at the then-current public pricing.
Tax Vault is offered on a subscription basis, with fees payable monthly or annually as selected at the time of purchase. All fees are stated in Australian dollars (AUD) and are inclusive of any applicable GST.
Membership fees are billed automatically on a recurring basis (monthly or annually) on or around the anniversary of your original subscription date. By subscribing, you authorise us to charge your nominated payment method for recurring fees.
Payments are processed by Stripe and/or other third-party payment processors we may use from time to time. Your payment details are processed and stored securely by these processors in accordance with their own terms and privacy policies. We do not store your full payment card details on our systems.
If a payment fails, we will attempt to retry the charge. If payment remains outstanding after reasonable attempts, we reserve the right to suspend or terminate your access to the Platform until payment is received. We will make reasonable efforts to contact you before suspending access.
We reserve the right to change our membership fees at any time. We will provide at least 30 days' written notice of any price increase to your registered email address before the change takes effect. Your continued use of Tax Vault after the notice period constitutes acceptance of the new pricing.
You may cancel your Tax Vault membership at any time by providing at least 7 days' written notice prior to your next billing date, by emailing [email protected]. Upon cancellation, you will retain access to the Platform until the end of your current paid billing period. No partial refunds are issued for unused portions of a billing period following cancellation.
If, within 30 days of your membership start date, you are not satisfied that the Platform has provided you with meaningful clarity about your tax position and obligations, you may request a full refund, subject to the following conditions having been met:
you have completed the Foundation module(s) of the Tax Vault core curriculum; and
you have attended or watched the recording of at least two (2) weekly live sessions.
To request a refund under the 30-Day Clarity Promise, email [email protected] within 30 days of your membership start date, including confirmation that both conditions above have been satisfied. We may request evidence of completion before processing a refund.
Refunds will be processed to your original payment method within 10 business days of approval. The 30-Day Clarity Promise applies to your first membership period only and is not available on renewal.
After the 30-day period, all membership fees are non-refundable except where required by applicable consumer law. We will consider refund requests made after 30 days on a case-by-case basis at our sole discretion.
Nothing in these Terms limits or excludes any rights you may have under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)), including any consumer guarantees that cannot lawfully be excluded.
You agree to use Tax Vault in a manner that is lawful, respectful, and consistent with the purpose of the Platform. You must not:
use Tax Vault for any unlawful purpose or in violation of any applicable law or regulation;
engage in conduct that harasses, intimidates, threatens, or harms any other member, guest, or representative of Tax Vault;
share, distribute, upload, or otherwise disseminate false, misleading, defamatory, or offensive content in the community;
attempt to gain unauthorised access to any part of the Platform, including other members' accounts;
use automated tools, bots, scrapers, or similar means to access, collect, or extract content from the Platform;
impersonate any person or entity, or misrepresent your affiliation with any person or entity;
use Tax Vault content to provide competing services or create competing products without our prior written consent; or
engage in any activity that disrupts, damages, or impairs the operation or integrity of the Platform.
We reserve the right to remove any content, suspend access, or terminate the membership of any person who violates these standards, without refund, at our sole discretion.
All content on Tax Vault — including but not limited to video lessons, course materials, templates, calculators, worksheets, written guides, live session recordings, graphics, branding, and any other material created or curated by us — is the intellectual property of Miriam Holme and is protected by Australian and international copyright law.
Your membership grants you a personal, non-exclusive, non-transferable, revocable licence to access and use Platform content for your own private, non-commercial educational purposes only. This licence does not confer any ownership interest in the content.
You must not, without our prior written consent:
download, copy, reproduce, screenshot, or record any course content, live session, or community material;
share, distribute, transmit, or publish any Platform content to any person not enrolled as a Tax Vault member;
sell, sub-license, or commercially exploit any Platform content in any form;
use any Platform content to train artificial intelligence models or similar systems; or
modify, adapt, or create derivative works from any Platform content.
Members must not record live sessions in any format (audio, video, or screenshot). Tax Vault reserves the right to record and distribute live sessions at its sole discretion. Member participation in live sessions constitutes consent to being recorded where applicable.
When you post questions, comments, or other content in the Tax Vault community ("Member Content"), you retain ownership of your Member Content but grant us a non-exclusive, royalty-free, worldwide licence to use, reproduce, display, and distribute that content on the Platform for the purpose of operating and improving the community.
You represent and warrant that any Member Content you post does not infringe the intellectual property rights of any third party and complies with these Terms and all applicable laws.
We collect, use, and disclose your personal information in accordance with our Privacy Policy, which is available at https://taxvault.com.au/privacy and is incorporated into these Terms by reference. By using Tax Vault, you consent to the collection and use of your personal information as described in our Privacy Policy.
Tax Vault uses third-party services to deliver certain features of the Platform, including but not limited to GoHighLevel (membership platform and CRM) and Stripe (payment processing). These services are governed by their own terms and privacy policies, which we encourage you to review.
We are not responsible for the practices or content of any third-party services. Links to third-party websites or services on the Platform are provided for your convenience only and do not constitute our endorsement of those services.
To the maximum extent permitted by law, Tax Vault and all content, tools, and services on the Platform are provided "as is" and "as available" without warranty of any kind, either express or implied. We do not warrant that the Platform will be uninterrupted, error-free, or free from viruses or other harmful components.
To the maximum extent permitted by law, in no event will Miriam Holme or any of its directors, employees, contractors, or agents be liable to you for any indirect, incidental, special, consequential, or punitive loss or damage arising from your use of, or inability to use, Tax Vault — including but not limited to loss of revenue, loss of profits, loss of data, or loss of opportunity — even if we have been advised of the possibility of such loss.
Our total aggregate liability to you for any claim arising from or related to Tax Vault will not exceed the total membership fees paid by you in the 12 months immediately preceding the event giving rise to the claim.
Nothing in this clause excludes, restricts, or modifies any right or remedy, or any guarantee, warranty, or other term or condition implied or imposed by the Australian Consumer Law, that cannot lawfully be excluded or limited.
You may cancel your membership at any time in accordance with clause 6.1. Cancellation takes effect at the end of your current paid billing period, subject to the 7-day notice requirement.
We reserve the right to suspend or terminate your membership immediately, without notice or refund, if you:
breach any provision of these Terms;
engage in conduct that we determine, in our sole discretion, to be harmful to other members or to the integrity of the Platform;
provide false or misleading information at registration or during your membership; or
fail to pay any fees when due.
We also reserve the right to suspend or discontinue Tax Vault, or any part of it, at any time, for any reason, with reasonable notice where practicable.
Upon termination of your membership, your licence to access Platform content ceases immediately. Any outstanding fees remain payable. Clauses that by their nature should survive termination (including clauses 8, 11, 13, and 14) will continue to apply after termination.
These Terms are governed by the laws of South Australia, Australia. You and we submit to the non-exclusive jurisdiction of the courts of South Australia for any dispute arising from or related to these Terms or your use of Tax Vault.
Before initiating any formal dispute, you agree to contact us at [email protected] and allow us a reasonable opportunity (not less than 14 days) to resolve the matter informally.
These Terms, together with our Privacy Policy and any other policies or notices published on the Platform, constitute the entire agreement between you and us with respect to your use of Tax Vault and supersede all prior agreements.
If any provision of these Terms is held to be invalid, illegal, or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible, and the remaining provisions will continue in full force and effect.
Our failure to enforce any provision of these Terms at any time does not constitute a waiver of our right to enforce that provision in the future.
You may not assign or transfer any of your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
